General Terms and Conditions (GTCs)

Art. 1 Scope of Application

  1. These General Terms and Conditions (GTCs) govern the contractual relationships between Hypohaus AG, Webergasse 5, 9000 St. Gallen (hereinafter “Hypohaus”) and its customers (hereinafter “Customer”).
  2. These GTCs govern the contractual relationship between Hypohaus and the Customer. If the parties sign a cooperation agreement and any authorization to obtain information, such agreements shall prevail over these GTCs. Conflicting or deviating terms and conditions of the Customer will not be accepted unless Hypohaus has expressly agreed to them in writing in an individual case.
  3. These provisions apply both to private consumers and to entrepreneurs or businesses. A consumer for purposes of these GTCs is any natural person who uses Hypohaus’ services for purposes that predominantly are not attributable to their commercial or self-employed professional activity but rather to their private needs and do not exceed customary private consumption. An entrepreneur for purposes of these GTCs is any natural or legal person or partnership with legal capacity acting in the exercise of its commercial or self-employed professional activity.
  4. Hypohaus may supplement or amend the GTCs at any time at its sole discretion. The current version of the GTCs can be accessed on the website hypohaus.ch/en/gtc.

Art. 2 Information and Declarations to Hypohaus

  1. Signature regulations and authorizations to obtain information notified to Hypohaus in writing shall apply exclusively in relation to Hypohaus and until revoked in writing, regardless of any differing entries in the commercial register or other publications.
  2. In order to use Hypohaus’ services, the Customer undertakes to provide truthful and complete information. If a Customer fails to comply with this obligation, Hypohaus expressly reserves the right to reject the Customer’s request. Furthermore, Hypohaus assumes no liability for incorrect or false information provided by the Customer.
  3. In the area of real estate financing, Hypohaus cooperates with various financing partners. After a contract has been concluded, the Customer enters into a separate business relationship directly with the financing partner. Any changes in this business relationship are agreed directly between the partners and the Customer and do not affect the rights and obligations between Hypohaus and the Customer.

Art. 3 Subject Matter of the Contract

  1. The Customer engages Hypohaus to prepare customer-specific financing files and subsequently identify suitable financing partners for a real estate financing transaction. For this purpose, the parties usually enter into a cooperation agreement, which shall prevail over these provisions.
  2. Hypohaus decides in each individual case, at its sole discretion, which services it will provide to the Customer. These services are limited to services related to real estate financing.
  3. Hypohaus reserves the right to adjust the scope of services at any time without stating reasons. Such changes will be communicated to the Customer in an appropriate manner.
  4. Hypohaus has the right, at its sole discretion, to terminate existing business relationships at any time with immediate effect.

Art. 4 Warranty and Liability

  1. Hypohaus informs the Customer about the risks associated with real estate financing transactions. However, the Customer bears the risk associated with entering into a real estate financing transaction solely and on their own responsibility.
  2. Hypohaus is not liable for any services of any kind provided by financing partners. Hypohaus is not liable even if it has identified or recommended the financing partner to the Customer under the cooperation agreement.
  3. Any damage and all risks associated with the use of mail, telegraph, telephone, telex, smartphone, computer, other means of transmission, or transport companies—particularly loss, irregularities, delay, misunderstandings, duplicate transmissions, etc.—shall be borne exclusively by the Customer.
  4. The Customer has the duty and bears the sole risk to provide Hypohaus with all documents and information necessary for the provision of the services, truthfully and in full.

Art. 5 Data Protection

  1. Reference is made to the provisions in the cooperation agreement, to the separate legal notice (imprint), and to the separate Privacy Policy on the website hypohaus.ch/en.

Art. 6 Final Provisions

  1. These GTCs are governed exclusively by Swiss law.
  2. The place of jurisdiction for disputes arising out of or in connection with this contractual relationship—subject to mandatory places of jurisdiction—between Hypohaus and its Customers is St. Gallen, Switzerland.
  3. The rights and obligations arising from the contractual relationship between Hypohaus and the Customer may not be assigned or otherwise transferred in whole or in part by the Customer to third parties without the prior written consent of Hypohaus.
  4. If one or more provisions of these GTCs are or become wholly or partially invalid, the validity of the remaining provisions shall not be affected. Any invalid or void provision shall be replaced by a new, legally permissible provision that comes as close as possible to the economic intent of the invalid or void provision. If an invalid provision is not subsequently corrected, an applicable statutory provision shall apply in its place by analogy.
